Golden Entertainment Inc was cleared to sell its slots business to Oak Tree last week with the Nevada Gaming Commission giving its approval and go-ahead for the deal to proceed. Officially, the acquisition is carried out by J&J Ventures and backed by Oak Tree.

Ploughing the Proceeds Back into Improving Existing Business

The proceeds from the deal will go into overhauling various operations, after the company announced changes to Gold Town’s dining options earlier this year, including a Farmhouse Kitchen, which is locally sourced and highly cherished dining expeirence.

Golden Entertainment is on a good business footing, as it will continue to support the gaming operations of Golden’s branded tavern locations in Nevada for J&J Ventures, indicative of the high level of trust voted to the company by the acquiring entity.

Meanwhile, other proceeds from the deal will be ploughed into improving some of the company’s casinos and operations, including Arizona Charlie’s, Strat, and gaming properties near Laughlin.

This will begin with the improvement of gaming operations in Pahrump, apart from the introduction of additional dining options. Many excellent venues could use the funding to become more competitive and continue driving more traffic towards themselves.

For example, Pahrump is located only 58 miles from the Las Vegas Strip and is enjoying a good amount of footfall, especially by travelers who baulk at the idea of plunging into the heart of the rowdy gaming heartland of Nevada.

Rather, Pahrump offers a little more relaxed but equally entertaining expeirence that Golden Entertainment is hoping to capitalize on. This sentiment is reflected in the company’s ownership of several prominent properties in which it operates, among which are Lakeside Hotel & Casino, Pahrump Nugget Hotel & Casino, and not least Gold Town Casino.

Sustained Interest in Pahrump Gaming and Resort Experiences

Pahrump may have a small population of only 40,000 people. Still, it’s right next to Death Valley National Park and Spring Mountains, which means that tourists are not really a rare sight. The area’s gaming reputation has been solidly edging upward, not least owing to Golden Entertainment’s sustained and long-term efforts to differentiate it.

The deal negotiated by Golden Entertainment and J&J Ventures Gaming focused on both Montana and Nevada, with the Silver State’s Nevada Gaming Commission seconding the opinion of the Nevada Gaming Control Board and confirming that the transaction may proceed.

The operations in Montana had already been acquired for $109 million and $5 million in purchased cash in September, in line with the initially stated transaction window.

J&J Ventures Gaming is spending $213.5 million to pay for the acquisition along with $34 million in purchased cash. The deal is yet to be finalized, though, and will probably be completed by the end of January 2024.

There are customary regulatory filings to now be provided as part of the deal before the transaction can be finalized. The Nevadan sale will create a five-year agreement between the two parties, with J&J Ventures Gaming supporting Golden Entertainment branded establishments in the Silver State.

J&J is, however, hoping to synergize its broader operations with its newly-acquired business in Nevada in due time and derive an even greater value from the acquisition.

The deal was partially orchestrated by Oaktree Capital Management, the majority owner at J&J Gaming and not least owing to familiarity between Golden Entertainment president and CFO Charles Protell and Oaktree’s managing director Matthew Wilson, who attended the same college.

Confidence in Golden Entertainment’s Tavern Business

Protell himself sold 35,946 shares in Golden Entertainment earlier this week, gaining $1.46 million on the sale. Golden Entertainment owns and operates casinos and taverns as well as distributed gaming solutions in Southern Nevada.

The change of leadership is nothing that Golden Entertainment fears with the company confident that the product it built over years of hard work serves well to both companies and especially shareholders.

“The Company achieved record revenues and posted its seventh consecutive quarter with positive cash flow from operations,” Goodman said. He addressed the issue of the company’s net loss of $965,628 which he said was driven by several factors, including the recent acquisition of MeridianBet Group, which incurred due diligence and legal expenses.

The company also attributed part of its loss to the rollout of the Mexplay brand and the associated marketing costs. Mexplay is Golden Matrix’s B2C online casino brand that launched in Mexico earlier this year.

“We have made important investments during the quarter in systems and people to accelerate the growth of our B2C segments, both RKings and Mexplay,” Goodman explained.

However, these are all just temporary setbacks, as the company is now planning to drive significant results as the synergies should finally kick in and introduce new opportunities for the group, which are also expected to reflect positively on its future financial performance.

“Closing of the MeridianBet acquisition will be a watershed event which is expected to catapult Golden Matrix into the global gaming markets as a highly competitive participant,” Goodman said confidently.
